17. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be settled by arbitration in accordance with the rules of the Arbitration Foundation of Southern Africa (AFSA). The arbitration shall be conducted in English and held in Johannesburg, South Africa.

17.1 Arbitration Process

The arbitration shall be conducted by a single arbitrator appointed by agreement between the parties or, failing such agreement, appointed by AFSA. The arbitrator's decision shall be final and binding on the parties.

17.2 Costs

The costs of arbitration, including administrative and arbitrators' fees, shall be shared equally by the parties unless otherwise determined by the arbitrator.

17.3 Exceptions

Notwithstanding the foregoing, Amgen Care reserves the right to seek injunctive or other equitable relief in any competent court to prevent the actual or threatened infringement, misappropriation, or violation of its intellectual property rights.

18. Miscellaneous
  • 18.1 Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the provision shall be deemed severed from these Terms, and the remaining provisions shall continue in full force and effect. This means that even if one part of these Terms is found to be unenforceable, the rest of the agreement remains valid and binding.
  • 18.2 Entire Agreement: These Terms, along with our Privacy Policy and any other legal notices or agreements published by Amgen Care, constitute the entire agreement between you and Amgen Care regarding your use of the Services. They supersede all prior or contemporaneous understandings, agreements, representations, and warranties, both written and oral, concerning the Services. This ensures that we maintain our rights under the agreement even if we choose not to enforce them immediately.
